U.S. KLD E-140/E-165 Scooter Reservation Terms and Restrictions

This U.S. E-140/E-165 Reservation Agreement governs your relationship with KLD Energy Technologies Inc. (KLD) and the process of reserving a KLD E-140/E-165, and describes the terms and conditions of such reservation. This agreement is entered into and  effective as of the date of your completion of Reservation Step 1.

Reservation Step 1: $500 fee
By signing and returning this agreement to KLD, you agree to pay a $500 reservation fee by credit card, check or wire transfer. When KLD receives your signed agreement and fee, KLD will assign you a reservation sequence position and a current, estimated delivery timeframe. Your $500 reservation fee is refundable less a $25 processing fee until you complete Reservation Step 2. If KLD does not receive your $500 payment within 10 days of your signature below, your reservation will be considered abandoned. Completion of this Reservation Step 1 does not constitute a sale of a KLD E-140/E-165. 

Reservation Step 2: Balance Due (less destination charges, taxes, fees)
KLD will notify you approximately 3 months prior to delivery of your KLD E-140/E-165. At that time, you will be asked to submit your option selections and pay the balance due (depending on base price plus options). Taxes, destination charges and other applicable fees are due upon delivery of your KLD E-140/E-165. If you decide not to complete Reservation Step 2, you may; (i) relinquish your reservation and receive a refund of your $500 reservation fee (less a $25 processing fee); or (ii) relinquish your reservation sequence position and defer to a later position (only one deferral is permitted). You must either complete Reservation Step 2 or proceed under options (i) or (ii) above within 10 business days of notification. If you do not communicate your decision to KLD within 10 business days of notification, you will receive a deferral under option (ii). Completion of this Reservation Step 2 does not constitute a sale of a KLD E-140/E-165. 

Age Restriction
You acknowledge that you are a resident of the United States, that you are at least 18 years old, and that you will take delivery of your KLD E-140/E-165 in the United States for use in the United States. 

Priority
KLD will establish your reservation sequence position in its sole discretion, and this position does not imply a particular vehicle identification number (VIN). KLD may decline or delay reservations to avoid oversubscription or as it deems appropriate. KLD E-140/E-165s may be built for purposes of in-house and third-party testing, evaluation, and display prior to fulfilling KLD E-140/E-165 reservations. 

Purchase Price
The current base price of a KLD E-140/E-165 is $3,288 for the E-140 and $3,888 for the E-165 excluding taxes, applicable fees, destination charge and options, if any. KLD reserves the right to change the base price and to add, discontinue or change the packaging or pricing of available options at any time prior to delivery. 

Delivery Terms
KLD E-140/E-165s reserved under this agreement may be acquired only for delivery and use in the United States. Sales will be made in accordance with the requirements of KLD authorized stores in Texas and other selected states. 

Cancellation
KLD or you may cancel your reservation, and you may obtain a refund of all reservation fees less the $25 processing fee, at any time prior to your completion of Reservation Step 2. After you have completed Reservation Step 2 by selecting your options and submitting the balance due, you may still cancel your reservation and obtain a refund of all reservation fees less a $100 cancellation fee, subject to applicable law.

Modifications
KLD reserves the right to change any of the terms of this agreement for any or no reason, and without prior notice to you. However, if you are unhappy with any change, you may cancel your reservation at any time prior to completion of Reservation Step 2 and receive a refund less the $25 processing fee as described above, or cancel your reservation after completion of Reservation Step 2, subject to the $100 cancellation fee.

Use of Funds
KLD reserves the right to use reservation fees for operating capital and for purposes determined by KLD in its sole discretion. KLD will not hold reservation fees in a segregated account. The E-140/E-165 reservation fees will be used to fund the growth of the company and its infrastructure required for the successful launch of the E-140/E-165. You acknowledge that your reservation fee may be lost, in part or whole, if KLD ceases to be viable as a company. If KLD remains viable, but the E-140/E-165 program is cancelled, you will receive a full refund. 

Limitation of Liability
Under no circumstances will KLD be held liable for, including, but not limited to, incidental, special, or con-sequential damages arising out of your reservation or any such other products and services, even if KLD or a KLD representative has been advised of the possibility of such damages. In the event KLD is held liable for any damages related to such matters, your sole and exclusive remedy will be limited to reimbursement of reservation fees paid to KLD. You hereby waive any and all rights to bring any claim or action related to such mat-ters beyond two years after the first occurrence of the kind of act, event, condition, or omission upon which the claim or action is based. The forum to resolve any such dispute shall be Texas.

Governing Law and Dispute Resolution
This agreement will be governed by the laws of the State of Texas without regard to its choice of law rules. If any disputes, differences, or controversies arise between the parties in connection with or concerning this Agreement, the parties first will attempt in good faith to reasonably settle the matter between them. If the matter is not settled within 30 days of the commencement of settlement discussions, then either party may initiate arbitration. The arbitration shall take place in Austin, Texas. The arbitration will be conducted by one arbitrator jointly selected by the parties, and its result will be final and binding. All dispute resolution efforts and the results shall be strictly confidential.

Building a great motor company requires a great marketing campaign. As such, KLD will use (in a very restricted manner) information about you, as follows:

Marketing and Service
Your personal information will be used to inform you of additional products and services from KLD or its business partners. It also may be used to improve our services, or to better answer questions you may have. For example, such information may be used to inform you about solar power options, scooter covers, and aftermarket products.

Statistics
KLD may also aggregate customer statistics and provide these statistics to third parties. These statistics will not include personal information that identifies any individual. All reasonable measures will be taken so that the information you provide will not be used by third parties for purposes other than those indicated here. 

Legal Disclosures
KLD may use, disclose, and communicate your personal information if required to do so by law or court order.
